1. Definitions

In these Terms and Conditions:

  • "You," "Your," "Client" refers to individuals or entities engaging our legal services
  • "Services" refers to legal services provided by Cornermark, including conveyancing, lease preparation, and property development advisory
  • "Agreement" refers to the contractual relationship formed when you engage our services
  • "Website" refers to our online presence at cornermarks.pro

2. Acceptance of Terms

By engaging our services or using our website, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not engage our services or use our website.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to engage our services.

These Terms and Conditions should be read together with our engagement letter, which will specify the scope of services, fees, and other matter-specific terms.

3. Service Description

Cornermark provides legal services in the following areas:

Conveyancing Services

Legal assistance for property purchase and sale transactions, including due diligence, document preparation, coordination with relevant parties, and Land Registry registration.

Lease Agreement Preparation

Drafting and review of tenancy documentation for residential and commercial properties, addressing rights, responsibilities, and termination provisions.

Property Development Advisory

Legal counsel for property development projects, including land acquisition, joint venture structuring, regulatory compliance, and coordination with authorities.

Service availability and scope are subject to our professional capacity and expertise. We reserve the right to decline engagements that fall outside our practice areas or where conflicts of interest exist.

4. Client Responsibilities

As our client, you agree to:

  • Provide accurate, complete, and timely information relevant to your legal matter
  • Respond promptly to our requests for information or documentation
  • Disclose all material facts, even if you believe they may be unfavorable
  • Comply with applicable laws and regulations
  • Pay fees and disbursements in accordance with our engagement terms
  • Inform us immediately of any changes to your contact information
  • Review documents and advice carefully and raise questions promptly
  • Make decisions about your matter in a timely manner

Failure to fulfill these responsibilities may affect our ability to provide effective legal services and could result in delays or complications in your matter.

5. Fees and Payment

Fee Structure

Our fees are set out in the engagement letter provided at the start of each matter. Fees may be:

  • Fixed fees for standard services such as conveyancing or lease preparation
  • Hourly rates for complex or ongoing advisory work
  • Project-based fees for development advisory matters

Disbursements

In addition to our fees, you are responsible for disbursements, which are expenses incurred on your behalf. These may include Land Registry fees, stamp duty, search fees, courier charges, and other necessary expenses.

Payment Terms

Payment terms will be specified in the engagement letter. Generally, payment is due upon completion of services or at stages specified in the engagement letter. Late payments may incur interest charges at a rate specified in our engagement terms.

Currency

All fees and disbursements are quoted and payable in Hong Kong Dollars (HKD) unless otherwise specified.

6. Intellectual Property

All materials, documents, templates, and work product created by Cornermark in the course of providing services remain our intellectual property. We grant you a limited, non-exclusive license to use documents and advice provided for the specific purpose for which they were prepared.

You may not reproduce, distribute, or repurpose our work product for other matters without our written consent. This includes providing our documents or templates to other legal practitioners for use in unrelated matters.

7. Confidentiality

We maintain strict confidentiality regarding all client information in accordance with professional obligations and the Personal Data (Privacy) Ordinance. Information about your matter will only be disclosed:

  • With your express consent
  • To parties necessary for the transaction or legal matter
  • When required by law or court order
  • To professional advisors bound by confidentiality obligations

8. Professional Standards

We conduct our practice in accordance with:

  • The Hong Kong Solicitors' Guide to Professional Conduct
  • Rules and regulations of the Law Society of Hong Kong
  • Applicable laws governing legal practice in Hong Kong

We maintain professional indemnity insurance as required by the Law Society of Hong Kong.

If you have concerns about our professional conduct, you may raise them with us directly or contact the Law Society of Hong Kong.

9. Limitations and Disclaimers

Legal services are provided based on the information available at the time and applicable law as it exists. We cannot provide certainty about legal outcomes, as results depend on many factors beyond our control.

Our advice is specific to your circumstances and the matter at hand. It should not be relied upon for other matters or by other parties without our express written consent.

While we exercise reasonable care in providing services, we are not responsible for:

  • Changes in law or regulations after advice is provided
  • Actions or inactions of third parties
  • Delays caused by external factors
  • Consequences of incomplete or inaccurate information provided by you

This does not limit our liability for professional negligence, which is covered by our professional indemnity insurance.

10. Limitation of Liability

Our liability for any claim arising from our services is limited to the extent permitted by law and professional regulations. We maintain professional indemnity insurance that provides coverage for claims arising from our professional services.

We are not liable for:

  • Indirect, consequential, or speculative losses
  • Losses arising from decisions made against our advice
  • Losses resulting from information you failed to disclose

Nothing in these terms excludes or limits our liability for fraud, willful misconduct, or matters that cannot be legally limited under Hong Kong law.

11. Termination

Your Right to Terminate

You may terminate our engagement at any time by providing written notice. Upon termination, you remain responsible for fees and disbursements incurred up to the date of termination.

Our Right to Terminate

We may terminate our engagement if:

  • You fail to pay fees or disbursements when due
  • You provide false or misleading information
  • A conflict of interest arises that cannot be managed
  • Professional obligations require us to cease acting
  • The relationship breaks down irretrievably

Effects of Termination

Upon termination, we will provide you with your file and assist with transition to new counsel where appropriate. Our obligations of confidentiality continue after termination.

12. Dispute Resolution

If you have concerns about our services, we encourage you to raise them with us directly so we can address the matter promptly.

These Terms and Conditions are governed by the laws of the Hong Kong Special Administrative Region. Any disputes arising from our engagement shall be subject to the exclusive jurisdiction of the Hong Kong courts.

Before commencing legal proceedings, parties should attempt to resolve disputes through good faith discussions or mediation where appropriate.

13. General Provisions

Entire Agreement

These Terms and Conditions, together with our engagement letter and any other written agreements, constitute the entire agreement between us regarding our engagement.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.

Waiver

Our failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign our rights or obligations with notice to you.

Notices

Notices under these terms should be provided in writing to the addresses specified in our engagement letter or to [email protected].

14. Changes to Terms

We may update these Terms and Conditions from time to time to reflect changes in our practices or legal requirements. The "Last Updated" date at the top of this page indicates when the most recent changes were made.

Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the updated terms.
